Chief Financial Officer

$225-275k plus bonus

Bell & Associates has been engaged to help our client find their next CFO. Reporting to the Chief Executive Officer, the Chief Financial Officer (CFO) will be responsible for leading the company’s financial function including general accounting, financial analysis, marketing, internal control, financial reporting, bank relationships, treasury/credit/cash management, audit, risk management (hedging, insurance) and overall tax strategy including federal, state and local compliance. The CFO will play a significant role in the leadership and management of the company and serve as a key member of the senior management team, proactively partnering with the CEO and peer management team members.

The CFO will be a “hands-on” financial strategist and tactician, providing for future funding and evaluating use and allocation of capital to enhance shareholder value while maintaining optionality for new opportunities. The CFO will lead banking and capital market relationships to assist the CEO in capital-raising efforts. The CFO will support timely and meaningful communication of company performance to investors and lenders as appropriate.

Specific responsibilities will include:

  • Leading the finance/accounting organization
  • Lead the company’s finance, treasury, credit, and risk management functions, including ensuring optimal balance sheet structure and management in the hedging of capital assets.
  • Coordinating and contributing to the strategic and financial planning, budgeting and forecasting processes in partnership with peer executive management team members. This will include oversight and ownership of financial models, including those provided from the technical team.
  • Proactively supporting the business with financial information and analysis to support and ensure quality commercial decisions. Developing and monitoring operational metrics relating to the achievement of financial objectives.
  • As a key member of the leadership team, participating in negotiations and financial due diligence in all acquisitions and other strategic moves that the company may undertake.
  • Preparing materials for investors and lenders.

Together, with the Controller:

  • Ensuring accurate, timely, and regulatory compliant financial reporting, including adherence to GAAP and the effective management review of operating results and variances.
  • Continuing the development and implementation of strong, independent financial policies, procedures, controls, and reporting systems.
  • Effectively managing the audit process and relationships with external auditors.
  • In coordination with IT, ensuring the existence of robust information systems and technologies to enable timely and accurate reporting and analysis.
  • Ensuring optimal and proactive tax planning and compliance.
  • Interfacing with operations on contracting/procurement strategy and implementation.
  • Interfacing with the company’s external legal counsel in the drafting of credit agreements and other relevant legal documents.

Candidate Profile

All candidates must have the following:

  • Finance and accounting experience in the E&P or midstream industry.
  • Experience working with a sophisticated group of shareholders and financial partners in a financial or accounting role.
  • Strong foundation in financial modeling, capital markets and capital allocation.
  • Process-driven with strong accounting / controls expertise.
  • Experience with raising capital and project financing.
  • Detail driven, analytical with strong quantitative skills.
  • Proactive with a high sense of urgency; skilled in anticipating issues and developing initiatives.
  • Undergraduate business, finance or accounting degree.

Ideal candidates will possess:

  • Prior CFO experience in the E&P or midstream industry.
  • Relationships with blue-chip E&P and energy transition lenders.
  • Substantial experience managing professional service providers (e.g. audit, tax and legal).
  • Team building experience including recruiting, mentorship, and retention of “A” team members.
  • CPA, CFA, MBA a plus.
